<br />EXHIBIT 1 <br />f. Utilities directly associated with operating the Parking Facilities (the direct cost of electricity, <br />telephone, cable or ISDN, other required data lines and water used exclusively at the Parking <br />Facilities). <br />g. Equipment repair andmaintenance. <br />h. General cleaning andmaintenance (per Exhibit E). <br />i. Painting and re-striping of the ParkingFacilities. <br />j. City of Santa Ana business license and all necessary permits and fees, including a police permit. <br />i. Operator will obtain, retain, and renew all permits and licenses required by any public or quasi- <br />public authority or agency as a condition to the use and operation of the Parking Facilities as public <br />parking facilities and storage facilities for motor vehicles including, but not limited to, a Santa Ana <br />business tax certificate. <br />j. All taxes that may be levied or charged upon the Parking Facilities, including, but not limited to the <br />following: <br />i. The Possessory Interest Tax as levied by and payable to the County of Orange, based upon the <br />County's formula for taxing Operator'spossessory interestin the Parking Facilities by the award <br />of this Agreement, if the County Assessor deems that such a possessory interest exists. <br />ii. All taxes that may be levied or charged upon the rights of Operator to perform the service of <br />operating parking facilities in the City of Santa Ana or upon Operator's improvements, <br />equipment, fixtures, facilities, or other propertythereon. <br />k. Telecommunications, data processing, and postage attributable to the Parking Facilities. <br />l. Marketing of the Parking Facilities. <br />m. Armored car services. <br />n. Uniforms. <br />2. Operating Expenses will not include, and Operator will not be entitled to reimbursement for, the <br />following: <br />a. Any payments to affiliates of Operator exceeding an amount that would have been paid to a <br />third-party for similar services. <br />b. Operator's general overhead expenses. <br />c. Administrative and related costs and expenses incurred in the operation of the Parking <br />Facilities or other operations of Operator, as they are incurred in the general management of <br />the affairs of the Parking Facilities or Operator's other operations, including the monitoring of <br />the operation and management of the Parking Facilities. <br />Page 7
