<br />"Agreement” means the Loan Agreement by and between the Agency and Developer. <br /> <br />"Applicable Law" shall mean those federal, state and local laws, ordinances, regulations, <br />policies and procedures applicable to the Project. <br /> <br />"Building Permit" means the building permit(s) issued by the City of Santa Ana and <br />required for the construction. <br /> <br />"Business Day" means any Monday, Tuesday, Wednesday, Thursday or Friday on <br />which Santa Ana City Hall is open to the public for the conduct of City affairs. <br /> <br />"Calendar Year" means each consecutive twelve (12) month period from January 1 to <br />December 31. <br /> <br />"Certificate of Completion" has the meaning set forth in the Agreement. <br /> <br />"City" means the City of Santa Ana, California, a charter city and municipal corporation. <br />“City” shall also refer to the Agency where the context dictates, to the effect that the Agency <br />shall have all the rights granted to the City hereunder. <br /> <br />"City Project Manager" shall mean the City’s Housing Manager and/or his/her <br />designee. <br /> <br /> <br />"County" means the County of Orange, California. <br /> <br />“Developer” means Shelter Providers of Orange County, Inc., a California nonprofit <br />corporation doing business as HomeAid Orange County. <br /> <br />"Event of Default" has the meaning set forth in the Agreement. <br /> <br />“Extremely Low Income” means an adjusted income which does not exceed thirty <br />percent (30%) of the Median Income for the Area, adjusted for household size, as published by <br />the U.S. Department of Housing and Urban Development. <br /> <br />"Governmental Authority" means any governmental or quasi-governmental agency, <br />board, bureau, commission, department, court, administrative tribunal or other instrumentality or <br />authority, and any public utility. <br /> <br /> <br />"Housing Authority" means the Housing Authority of the City of Santa Ana (CA093), a <br />public body, corporate and politic. <br /> <br />"HUD" means the United States (U.S.) Department of Housing and Urban Development, <br />and any successors or assigns thereof. <br />EXHIBIT 4
