Agency and Tenant hereby agree that no prior agreement, <br />understanding or representation pertaining to any matter covered or mentioned in this Lease shall be <br />effective for any purpose. <br />19.19 Notices. All notices or other communications required or permitted hereunder shall <br />be in writing, and shall be personally delivered or sent by registered or certified mail, postage <br />prepaid, return receipt requested, or electronic mail, shall be deemed received upon the earlier of (a) <br />if personally delivered, the date of delivery to the address of the person to receive such notice, (b) if <br />mailed, three (3) business days after the date of posting by the United States post office, (c) if given <br />by electronic mail, when sent if before 5:00 p.m., otherwise on the next business day, or (d) if <br />delivered by overnight delivery, one (1) business day after mailing. Any notice, request, demand, <br />direction or other communication sent by electronic mail must be confirmed with in by letter mailed <br />or delivered within two business days in accordance with the foregoing. <br />Either Party may change the address for notices by giving the other Party at least ten (10) calendar <br />days’ prior written notice of the new address. <br /> <br />If to Lessor: <br />Housing Authority of the City of Santa Ana <br />20 Civic Center Plaza (M-26) <br />P.0. This Lease is the sole and only agreement between the Parties <br />regarding the subject matter hereof; other agreements, either oral or written, are void. Any changes <br />to this Lease shall be in writing and shall be properly executed by all Parties. <br />19.21 Dispositions of Abandoned Property. If Tenant abandons or quits the Premises or <br />is dispossessed thereof by process of law or otherwise, title to any personal property belonging to and <br />left on the Premises thirty (30) days after such event shall, at Agency’s option, be deemed to have <br />been transferred to Agency. Agency shall have the right to remove and to dispose of such property <br />at Tenant’s cost, including the cost of labor, materials, equipment and an administrative fee equal to <br />fifteen percent (15%) of the sum of such costs without liability therefor to Tenant or to any person <br />claiming under Tenant, and shall have no need to account therefor. At Lessor's option, Lessor may <br />provide Tenant with an invoice for such costs, which invoice Tenant agrees to pay within fifteen (15) <br />days of receipt. <br />EXHIBIT 5
