d)Offset against any monies billed by the Subrecipient but yet unpaid by the County those <br />monies disallowed pursuant to the above. <br />7.Conditions Affecting Work: The Subrecipient shall be responsible for taking all steps reasonably <br />necessary, to ascertain the nature and location of the work to be performed under this Contract; <br />and to know the general conditions which can affect the work or the cost thereof. Any failure by <br />the Subrecipient to do so will not relieve Subrecipient from responsibility for successfully <br />performing the work without additional cost to the County. The County assumes no responsibility <br />for any understanding or representations concerning the nature, location(s) or general conditions <br />made by any of its officers or agents prior to the execution of this Contract, unless such <br />understanding or representations by the County are expressly stated in the Contract. <br />8.Civil Rights: Subrecipient attests that services provided shall be in accor dance with Section 188 <br />of the Workforce Innovation and Opportunity Act (WIOA), which prohibits discrimination <br />against all individuals in the United States on the basis of either citizenship status or participation <br />in any WIOA Title I-financially assisted program or activity; the provisions of Title VI and Title <br />VII of the Civil Rights Act of 1964, as amended, which prohibits discrimination on the bases of <br />race, color and national origin; Section 504 of the Rehabilitation Act of 1973, as amended; which <br />prohibits discrimination against qualified individuals with disabilities; the Age Discrimination <br />Act of 1975 as amended; which prohibits discrimination on the basis of age; Title IX of the <br />Education Amendments of 1972, as amen ded, which prohibits discrimination on the basis of sex <br />in educational programs; Title II of the Americans with Disabilities Act of 1990, and other <br />applicable State and Federal laws and regulations prohibiting discrimination on the basis of race, <br />color, national origin, ethnic group identification, age, religion, marital status, sex or disability. <br />The Subrecipient also assures that, as a Subrecipient ofWIOA Title I financial assistance, it will <br />comply with 29 CFR part 3 8 and all other regulations implementing the laws listed above. This <br />assurance applies to the Subrecipient's operation of the WIOA Title I-financially assisted program <br />or activity, and to all agreements the Subrecipient makes to carry out the WIOA Title I-financially <br />assisted program or activity. The Subrecipient understands that the United States has the right to <br />seek judicial enforcement of this assurance. <br />9.Conflict oflnterest-Subrecipient's Personnel: The Subrecipient shall exercise reasonable care <br />and diligence to prevent any actions or conditions that could result in a conflict with the best <br />interests of the County. This obligation shall apply to the Subrecipient; the Subrecipient's <br />employees, agents, and subcontractors associated with accomplishing work and services <br />hereunder. The Subrecipient's efforts shall include, but not be limited to establishing precautions <br />to prevent its employees, agents, and subcontractors from providing or offering gifts, <br />entertaimnent, payments, loans or other considerations which could be deemed to influence or <br />appear to influence County staff or elected officers from acting in the best interests of the County. <br />The Subrecipient shall not use moneys provided under this Contract to pay or reimburse any staff <br />person of Subrecipient or any consultant to Subrecipient, if such staff person or consultant is a <br />member of the Board of Directors, or other official governing body, ofSubrecipient. Subrecipient <br />shall further be subject to the full texts of all local, State and federal conflict of interest statutes <br />applicable to this Contract. <br />10.Conflict of Interest -County Personnel: The County of Orange Board of Supervisors policy <br />prohibits its employees from engaging in activities involving a conflict of interest.
