2.7.2 In the event that the City fails to dispense at least the Targeted CNG Dispensing <br />Amount for each Annual Measurement Period, the City shall pay to the TruStar, within 90 days <br />of the end of such 12 month period an amount equal to $0.67 per GGE ($5.23per MMBtu) for each <br />GGE (or 7.8 MMBtus) below the Targeted CNG Dispensing Amount that the City failed to so <br />dispensed during each such Annual Measurement Period. <br />2.7.3 TruStar's obligations with respect to this Section 2.7 are, in all respects, subject to <br />the last sentence of Section 8.3 hereof. <br />ARTICLE 3 <br />REPRESENTATIONS AND WARRANTIES <br />3.1 City Representations and Warranties. <br />3.1.1 City represents and warrants that City has all right, title, and interest in and <br />will grant all such interest in the Environmental Attributes associated with the Vehicle Fuel <br />dispensed at the Station to TruStar and will not take any action that would invalidate such <br />Environmental Attributes, including TruStar's ability to generate RINs and other credits <br />derived from Environmental Attributes. <br />3.2 Mutual Representations and Warranties. Each Party represents and warrants to <br />the other Party as of the Effective Date as follows: <br />3.2.1 Such party is duly organized and validly existing under the applicable Law <br />of the jurisdiction of its formation, organization or incorporation and is in good standing <br />under such applicable Law. <br />3.2.2 Such party has the corporate, governmental or other legal capacity, <br />authority and power to execute this Agreement, to deliver this Agreement and to perform <br />its obligations hereunder, and has taken all necessary corporate or other action to authorize <br />the foregoing. <br />3.2.3 The execution, delivery and performance of this Agreement do not violate <br />or conflict with any Law applicable to such party, any provision of such party's <br />constitutional documents, any order or judgment of any court or other agency of <br />government applicable to such party or any of its assets or any contractual restriction <br />binding on or affecting such party or any of its assets. <br />3.2.4 Such party will cooperate in registering the Station under the RFS and LCFS <br />or other State LCFS program. Such cooperation includes, but is not limited to, providing <br />all requested data and information. <br />3.2.5 Such party has not and will not take any action that results in the invalidity <br />of RINs or LCFS Credits generated on the Vehicle Fuel sold as transportation fuel at the <br />Station. <br />
