Page 1 of 12 <br />RENEWAL AGREEMENT WITH SELECTRON TECHNOLOGIES, INC. TO PROVIDE <br />INTERACTIVE VOICE RESPONSE SERVICES AND <br />SOFTWARE SUPPORT AND MAINTENANCE <br />This Renewal Agreement to Provide Interactive Voice Response Services and <br />Software Support and Maintenance (“this Agreement”) is made as of this 17h day of August, <br />2021 by and between Selectron Technologies, Inc., an Oregon corporation (“CONSULTANT”), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California (“CITY”). In consideration of the mutual <br />promises herein contained and other good and valuable consideration, the adequacy and receipt <br />of which is hereby acknowledged, the parties agree as follows: <br />RECITALS <br />A.CITY desires to retain a consultant having special skill and knowledge in providing multi- <br />lingual interactive voice response services through a centralized software system capable <br />of integration with the City’s Municipal Utility Services, Business License, Dog License, <br />and Land Management systems and compatible with the City’s underlying voice of internet <br />protocol telephone system and other associated equipment and software. <br />B.In undertaking the performance of this Agreement, CONSULTANT represents that it is <br />knowledgeable in its field and that any services performed by CONSULTANT under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the terms and conditions hereinafter set forth, including those set forth in the CONSULTANT’S <br />standard Software License Agreement and Support and Maintenance Agreement attached at <br />Appendices I and II, respectively, the parties agree as follows: <br />CITY hereby retains CONSULTANT, and CONSULTANT hereby agrees to provide such <br />services as are set forth hereinbelow, in accordance with the terms and conditions of this <br />Agreement, and represents and warrants to CITY that CONSULTANT accepts such assignment <br />to perform those services, subject to those terms and conditions. <br />1.SCOPE OF SERVICES <br />a.CONSULTANT shall perform during the term of this Agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental customary <br />work required to fully and adequately complete the services described and set forth in <br />EXHIBIT A, EXHIBIT B, and EXHIBIT C, as well as Appendix I and Appendix II (as <br />may be applicable), attached hereto and incorporated by reference. <br />b.In the event that the description of services, their time, place, and manner specified in <br />EXHIBITS A, B, C, and Appendices I and II, is in conflict with the provisions of this <br />Agreement then the terms of this Agreement will prevail. <br />2.COMPENSATION <br />a. Upon execution of this Agreement, CITY agrees to pay, and CONSULTANT agrees to <br />EXHIBIT 1
