FURTHER RESOLVED, that the authority granted in the immediately preceding <br />resolution includes, without limitation, the authority to approve, enter into and perform all <br />transactions and contracts relating to the purchasing, underwriting, dealing and trading or <br />investing in, or otherwise acquiring (including purchasing on margin and borrowing funds <br />through or from Affiliates or third parties and securing payment thereof with property of the <br />Corporation), possessing, selling (including short sales), placing as agent, remarketing, acting as <br />auction agent, effecting transactions pursuant to repurchase and reverse repurchase agreements, <br />transferring, lending, borrowing, exchanging or otherwise disposing of, and generally executing <br />any transaction involving or consisting of (but not limited to): <br />(A) equity or secured or unsecured debt <br />representing an interest in such equity <br />forward or optional commitment basis; <br />securities and instruments of every kind <br />or debt, whether on a current, mandatory <br />(B) foreign currencies and foreign currency -denominated securities, deposits and money <br />market instruments including without limitation currency swaps, cross -currency <br />interest rate swaps, Eurocurrency deposits and redeposits, certificates of deposit, <br />notes and floating rate notes and bonds; <br />(C) futures and options (exchange listed or over-the-counter) on securities, securities <br />indices, financial instruments and foreign currencies; <br />(D) commodities and all contracts related to the trading, delivery or storage thereof, <br />(E) (i) a rate swap transaction, swap option, basis swap, forward rate transaction, <br />commodity swap, commodity option, equity or equity index swap, equity or equity <br />index option, bond option, interest rate option, foreign exchange transaction, cap <br />transaction, floor transaction, collar transaction, currency swap transaction, cross - <br />currency rate swap transaction, currency option, credit protection transaction, credit <br />swap, credit default swap, credit default option, total return swap, credit spread <br />transaction, repurchase transaction, reverse repurchase transaction, buy/sell-back <br />transaction, securities lending transaction, weather index transaction or forward <br />purchase or sale of a security, commodity or other financial instrument or interest <br />(including any option with respect to any of these transactions) or (ii) a type of <br />transaction that is similar to any transaction referred to in clause (i) above that is <br />currently, or in the future becomes, currently entered into in the financial markets <br />(including terms and conditions incorporated by reference in such agreement) and <br />which is a forward, swap, future, option or other derivative on one or more rates, <br />currencies, commodities, equity securities or other equity instruments, debt securities <br />or other debt instruments, economic indices or measures of economic risk or value, or <br />other benchmarks against which payments or deliveries are to be made; and <br />(F) any combination of the foregoing, including any synthetic exposure thereto pursuant <br />to contract or otherwise; and it is <br />FURTHER RESOLVED, that the authority granted in the two immediately preceding <br />resolutions includes, without limitation, the authority to approve, enter into and perform any and <br />all contracts, agreements and other instruments relating to, and provide investment, financial and <br />strategic advice and other financial services in connection with, various transactions, <br />arrangements or financial matters, including without limitation (a) any merger, acquisition, sale, <br />combination, reorganization and recapitalization of public and private companies as well as the <br />
