The Bonds shall be substantially in the form set forth in Exhibit A <br />attached hereto and by this reference incorporated herein. The Bonds may be printed, lithographed, <br />photocopied or typewritten and shall be in such Authorized Denominations as may be determined by <br />the City. <br />Section 2.06 Additional Bonds. From time to time, the City may enter into (i) one or <br />more other trust agreements or indentures and/or (ii) one or more agreements supplementing and/or <br />amending this Trust Agreement, for the purpose of providing for the issuance of Additional Bonds to <br />refund the Bonds or to refund all or any portion of any Unfunded Liability under the PERS Contract <br />arising subsequent to the issuance of the Bonds or any other obligations due to PERS. Such <br />Additional Bonds may be issued on a parity with the Bonds. <br />ARTICLE III <br /> <br />EXECUTION, AUTHENTICATION AND EXCHANGE OF BONDS; <br />BOOK ENTRY BONDS <br />Section 3.01 Execution and Authentication; Registration. <br />(a) The Bonds will be signed for the City with the manual or facsimile signature <br />of the Mayor of the City Council of the City. The City may deliver to the Trustee or its agent duly <br />executed Bonds for authentication from time to time by the Trustee or its agent as such Bonds may <br />be required. Bonds executed and so delivered and authenticated will be valid. In case any officer of <br />the City whose signature or whose facsimile signature shall appear on any Bonds shall cease to be <br />such officer before the authentication of such Bonds, such signature or the facsimile signature thereof <br />shall nevertheless be valid and sufficient for all purposes the same as if he or she had remained in <br />office until authentication. Also, if a person signing a Bond is the proper officer on the actual date of <br />execution, the Bond will be valid even if that person is not the proper officer on the nominal date of <br />action and even though, at the date of this Trust Agreement, such person was not such officer. <br />(b) A Bond will not be valid until the Trustee or its agent executes the certificate <br />of authentication on such Bond by manual signature. Such signature will be conclusive evidence that <br />such Bond has been authenticated under this Trust Agreement. The Trustee may appoint an <br />authenticating agent acceptable to the City to authenticate Bonds. An authenticating agent may <br />authenticate Bonds whenever the Trustee may do so. Each reference in this Trust Agreement to <br />authentication by the Trustee includes authentication by such agent. <br />(c) Bonds may be presented at the Principal Office of the Trustee, unless a <br />different office has been designated for such purpose, for registration, transfer and exchange. The <br />Registrar will keep a register of such Bonds and of their transfer and exchange. <br />Section 3.02 Transfer or Exchange of Bonds. Subject to Section 3.03: <br />(a) All Bonds shall be issued in fully registered form. Upon surrender for <br />transfer of any Bond at the Principal Office of the Trustee, the Trustee shall deliver in the name of <br />the transferee or transferees a new fully authenticated and registered Bond or Bonds of Authorized <br />Denominations of the same maturity for the aggregate principal amount which the Bondholder is <br />entitled to receive.
