<br />39 <br />4846-5351-8811v3/200434-0005 <br />ARTICLE XIII <br /> <br />MODIFICATION OF THIS TRUST AGREEMENT <br />Section 13.01 Limitations. This Trust Agreement shall not be modified or amended in any <br />respect subsequent to the first delivery of fully executed and authenticated Bonds except as provided <br />in and in accordance with and subject to the provisions of this Article XIII. <br />Section 13.02 Supplemental Agreements Not Requiring Consent of Bondholders. <br />(a) The City may, from time to time and at any time, without the consent of or <br />notice to the Bondholders, execute and deliver supplemental agreements supplementing and/or <br />amending this Trust Agreement as follows: <br />(i) to cure any defect, omission, inconsistency or ambiguity in this Trust <br />Agreement; <br />(ii) to add to the covenants and agreements of the City in this Trust <br />Agreement other covenants and agreements, or to surrender any right or power reserved or conferred <br />upon the City, and which shall not adversely affect the interests of the Bondholders; <br />(iii) to confirm, as further assurance, any interest of the Trustee in and to <br />the Funds and Accounts held by the Trustee or in and to any other moneys, securities or funds of the <br />City provided pursuant to this Trust Agreement or to otherwise add security for the Bondholders; <br />(iv) to comply with the requirements of the Trust Indenture Act of 1939, <br />as from time to time amended; <br />(v) to modify, alter, amend or supplement this Trust Agreement in any <br />other respect which, in the judgment of the City, is not materially adverse to the Bondholders; <br />(vi) to qualify the Bonds for a rating or ratings by any Rating Agency; and <br />(vii) to authorize the issuance of Additional Bonds in accordance with this <br />Trust Agreement. <br />(b) Before the City shall, pursuant to this Section 13.02, execute any <br />supplemental agreement there shall have been delivered to the City an opinion of Bond Counsel to <br />the effect that such supplemental agreement (i) is authorized or permitted by this Trust Agreement <br />and the Refunding Law, and (ii) will, upon the execution and delivery thereof, be valid and binding <br />upon the City in accordance with its terms, subject to the typical exceptions. <br />Section 13.03 Supplemental Agreement Requiring Consent of Bondholders. <br />(a) Except for any supplemental agreement entered into pursuant to <br />Section 13.02, the Holders of not less than a majority in Total Bond Obligation shall have the right <br />from time to time to consent to and approve the execution by the City of any supplemental agreement <br />deemed necessary or desirable by the City for the purposes of modifying, altering, amending, <br />supplementing or rescinding, in any particular, any of the terms or provisions contained in this Trust <br />Agreement or in a supplemental agreement; provided, however, that, unless approved in writing by
