Attachment 4 <br /> <br />Proposal Summary – CR&R INCORPORATED <br /> <br />February 9, 2021 4 ‐ 8 City of Santa Ana <br />9.3 AB 939 Indemnification and Guarantee <br />To the maximum extent permitted by law, Contractor unconditionally guarantees compliance with the <br />requirements of AB 939 as amended from time to time. Contractor shall use its best efforts to carry out <br />its obligations under this Agreement so that the City will meet or exceed the Diversion requirements set <br />forth in AB 939, and all amendments thereto more fully set forth below. City and Contractor shall <br />reasonably assist each other to meet the City's AB 939 Diversion requirements. In carrying out the <br />provisions of this Section, Contractor agrees to perform the following obligations at its cost and expense: <br /> <br />A. Defend, with counsel approved by City, indemnify and hold harmless the City against all fines and/or penalties <br />imposed by the CalRecycle, if Contractor fails or refuses to provide information relating to its operations which is <br />required under this Agreement and such failure or refusal prevents or delays City from submitting reports required by <br />AB 939 in a timely manner and if City acts in good faith. <br /> <br />5. Article 11.5 Excuse from Performance <br />CR&R proposes to the addition of “pandemic, epidemic, lockdown, quarantine,” to the first paragraph of Article 11.5 <br />as shown below. <br />11.5 Excuse from Performance <br />The parties shall be excused from performing their respective obligations hereunder in the event they <br />are prevented from so performing by reason of floods, earthquakes, other natural disasters, war, civil <br />insurrection, riots, pandemic, epidemic, lockdown, quarantine, acts of any government (including <br />judicial action), and other similar catastrophic events which are beyond the control of and not the fault <br />of the party claiming excuse from performance hereunder. <br /> <br />Proposal Enhancements <br />ENHANCEMENTS <br /> Recycling Coordinators – CR&R will dedicate 3 recycling coordinators to the City of Santa Ana. <br /> New collection vehicles. Deployment of two lighter weight collection vehicles which are 5,000 pounds lighter than stock vehicles. <br /> City Sales Tax Revenue: All capital equipment procurement, including new automated carts, new bins, collection vehicles, and <br />ancillary vehicles, will be conducted in the City of Santa Ana to ensure that all associated City tax revenue is remitted to Santa <br />Ana. With a proposed capital expenditure of $34.5 million, the sales tax benefit to the City is estimated at $517,000. <br />This revenue includes purchase commitments with Santa Ana businesses including Tom's Trucks and Guaranty Chevrolet. <br /> New Office at City Hall: CR&R proposes to lease office space on the 4th Floor of the Ross Annex at City Hall. CR&R will provide <br />customer service, community relations and sustainability services from this space, and Public Works staff would have immediate <br />access to CR&R personnel. <br /> New, RFID Residential Carts: The proposed new, automated carts feature enhancements including RFID tags and front‐of‐ <br />container imprinting to enhance program compliance. <br /> New Commercial and Multi‐Family Bins: CR&R is including new commercial and multi‐family bins as part of our proposal to serve <br />the City of Santa Ana. We believe the use of new bins is imperative for providing high‐quality service, achieving the City's <br />diversion goals, combating the issue of graffiti and enhancing the City's beauty. Additionally, CR&R is proposing the use of plastic <br />bins for commercial services near residences to reduce the noise associated with service. <br /> Community Involvement: CR&R considers community involvement and giving back as a top priority. Should we be given the <br />privilege of serving the City of Santa Ana, we will demonstrate commitment to the Santa Ana community through long‐term <br />support of charitable organization that improve the quality of life of all Santa Ana residents. <br /> Examples of CR&R's intended community involvement is the Boys and Girls Club of Santa Ana and Goodwill Industries. <br />o Boys and Girls Club of Santa Ana ‐ The CR&R team has a long‐standing history of support for Boys and Girls Clubs, in Santa <br />Ana, and throughout Orange County. CR&R team members Chrystal Denning and David Ross have both served on the Board <br />of Directors of the Boys and Girls Club of Santa Ana. CR&R employees are also on the Board of Directors in Garden Grove,
