The contract awarded pursuant to this RFP for the provision of revenue auditing, <br />recovery, reporting, analysis, and legislative/State agency liaison, and implementation - <br />monitoring services shall be administered by the Executive Director of Finance & Management <br />Services of the City, or his or her designee. <br />XI1. CONTRACT MODIFICATION AND AMENDMENTS <br />Once a contract has been awarded and executed, the parties may adjust the specific terms and <br />the Contract Documents from time -to -time where circumstances beyond the control of either <br />party require modification or amendment. Any modification or amendment proposed by the <br />Consultant/Vendor must be submitted In writing to the City. Any agreed modifications and/or <br />amendments must be done in writing, approved by all parties. <br />XI11. CONSULTANT/VENDOR SELECTION AND AWARD <br />The award of contract under this RFP will be made by the City of Santa Ana, All Proposers will <br />be notified in writing at the conclusion of the procurement process as to the results of the bid <br />proposal evaluation process and the final award recommendation. Proposers will receive mailed <br />award/non-award notifications, which will include the name of the Proposer awarded the <br />contract. <br />A. Request_for Council Action: <br />Following evaluation and rating by the proposal review committee, the Executive <br />Director will recommend award of an agreement to the Proposer providing the best <br />quality and value to the City. Any contract resulting from this RFP shall not be <br />effective unless and until approved by the City Council/City Manager, as applicable. <br />R. Execution of Agreement: <br />A sample standard agreement is included as Attachment 11: Professional Service <br />Agreement in this RFP, but may be modified to suit the specific services and needs of <br />the City. "Proposer" will hereinafter be referred to as "Consultant" in the standard <br />agreement. The term of the agreement will begin after the agreement is fully <br />executed, and all required bonds, insurance documents and contents of the payment <br />information packet have been received and approved. If the Proposer has any <br />exceptions or conditions to the Agreement, these must be submitted for <br />consideration with the Proposal. Otherwise, the Proposer will be deemed to <br />have accepted the form of Agreement. <br />XIV. GENERAL TERMS & CONDITIONS <br />By submitting a Proposal, the Proposer acknowledges that it has thoroughly examined and <br />accepts the Terms and Conditions of this RFP as described below: <br />Conflict of Interest <br />Consultant/Vendor shall exercise reasonable care and diligence to prevent any actions or <br />conditions that could result in a conflict with the best interests of the City. This obligation shall <br />apply to the Consultant/Vendor; the Consultant/Vendor's employees, agents, and <br />Subcontractors associated with accomplishing work and services hereunder.
