I/we, Orange County Employees <br />Association, as the legal owner ("Licensor") of the property located at 821 North Van <br />NNess Street, Santa Ana, California, 92701, Assessor Parcel Number 005-144-32 (the <br />"Property"), attached hereto, do hereby grant to the City of Santa Ana, a charter city and <br />¢ municipal corporation duly organized and existing under the Constitution and the laws <br />of the State of California (collectively referred to as the "City") a non-exclusive <br />License for the following purpose: <br />Free public parking for City of Santa Ana Library patrons every Saturday from 9 <br />a.m. to 5:00 p.m. for the term of this License. The License area is identified in the <br />attached Exhibit A. The marked parking stalls illustrated in the attached Exhibit A <br />will be used by City Library patrons. <br />1. Signage. City agrees to post a sign every Saturday identifying the Property as <br />parking for patrons of the Santa Ana Library only between the hours of 9 a.m. and 5 p.m. <br />2. Indemnification. The City agrees to indemnify, defend, and hold harmless <br />Licensor from and against any and all actions, suits, claims, demands, judgments, <br />losses, expenses, or liabilities, injuries and damages to persons and property, including <br />death, arising out of City's use of the Property. <br />3. Repair of damage. The City further agrees to repair any damage to the <br />Property caused by the exercise of this License at its sole cost and expense, and to <br />restore the Property, as nearly as practicable to the state in which it existed prior to the <br />use of the Property by the City. <br />4. Exclusive rights. The rights herein granted to the City, are exclusive, and the <br />City agrees not to assign, transfer, lease, pledge, or otherwise dispose of its License <br />without the prior express written approval of the Licensor. <br />Expiration and termination. This License shall expire after one (1) year from <br />the date set forth in the first paragraph, unless terminated pursuant to thirty (30) days <br />advance written notice by either City or Licensor. <br />6. License fee. City shall pay to Licensor $625 a month or for any portion of a <br />month if the License begins or ends after the first of the month, during the tern of this <br />License, for a total not to exceed amount of $7,500.
