In the event any condition, covenant, or provision set forth in this Agreement is held to be invalid, unenforceable or void by any Court of competent jurisdiction, the same shall be deemed severable from the remainder of this Agreement and shall in no way effect any other condition, covenant, or provision herein contained, and the remainder of this Agreement shall continue to be valid and enforceable. If such condition, covenant, or other provision shall be deemed invalid or unenforceable due to scope or breadth, such provision shall be deemed valid to the extent of the scope or breadth permitted by law. 6.10 Successors and Assigns. This Agreement shall bind and inure to the benefit of the Parties, and their respective officers, directors, employees, members, volunteers, agents, lessors, successors, and assigns. 6.11 Effective Date. The Parties deem this Agreement to be effective as of the date that the Agreement is fully signed and delivered by each Party and, upon such execution and delivery, the "Effective Date" of this Agreement shall be the date first set forth above.
