4. TERM <br />This Agreement shall commence on the date stated above and continue through <br />September —17,-202-3,- unless -terminated -as-otherwise -provided -in- this -Agreement. <br />5. INDEPENDENT CONTRACTOR <br />GM shall, during the entire term of this Agreement, be construed to be an independent <br />contractor and not an employee of the City. This Agreement is not intended nor shall it be <br />construed to create an employer -employee relationship, a joint venture relationship, or to allow <br />the City to exercise discretion or control over the professional manner in which GM performs the <br />services which are the subject matter of this Agreement; however, the services to be provided by <br />GM shall be provided in a manner consistent with all applicable standards and regulations <br />governing such services. GM shall pay all salaries and wages, employer's social security taxes, <br />unemployment insurance and similar taxes relating to employees and shall be responsible for all <br />applicable withholding taxes. <br />6. INSURANCE <br />6.1. During the term of this Agreement, GM shall maintain and shall require its <br />subcontractors or agents, if any, to obtain and maintain insurance as described below: <br />a. Minimum Scope and Limit of Insurance: <br />(1) Commercial General Liability Insurance. Commercial General Liability "CGL" <br />including products -completed operations, property damage, bodily injury and personal <br />& advertising injury with limits no less than $4,000,000 per occurrence. <br />(2) Automobile Liability. Commercial Auto Liability covering any auto (a limit of <br />no less than $1,000,000 per accident for bodily injury and property damage. <br />(3) Workers' Compensation Insurance. In accordance with California State law, if <br />GM has any employees, is required to be insured against liability for wo'rler's <br />compensation or to undertake self-insurance. Prior to commencing the performance of <br />the work under this Agreement, GM agrees to obtain and maintain any employer's <br />liability insurance with limits not less than $1,000,000 per accident. <br />b. Other Insurance Provisions <br />(1) Additional Insured Status. The City, its officers, officials, employees, and <br />volunteers are to be covered as additional insureds on the CGL policy with respect <br />to liability arising out of work or operations performed by or on behalf of the GM <br />including materials, parts, or equipment famished in connectionwith such work or <br />operations. <br />Page 2 of 14 <br />
