documents necessary and appropriate to carry out and effectuate the terms and purposes of this <br />Agreement. <br />7. Binding on Successors. This Agreement shall be binding on and inure to the benefit <br />of the successors and assigns of the Parties to this Agreement. <br />8, Governing Law and Venue. This Agreement shall be deemed to have been <br />executed and delivered within the State of California. The rights and obligations of the Parties <br />hereunder shall be governed, construed, and enforced in accordance with the laws of the State of <br />California. The venue for any dispute arising from or related to this Agreement, its performance, <br />and its interpretation shall be Orange County Superior Court. <br />9. Notices. Any notice, request, or communication to be given to either Party under <br />this Agreement shall be given in writing and shall be personally delivered or mailed by prepaid <br />registered or certified mail to the addresses below. Entire Agreement. The Parties acknowledge that this Agreement is signed and <br />executed without reliance upon any actual or implied promises, warranties or representations made <br />by any of the Parties or by any representative of any of the Parties, other than those that are <br />expressly contained within this Agreement. This Agreement, including the true and correct <br />Recitals above, inclusive of all definitions contained therein, that are incorporated by reference <br />herein as operative covenants and specifically relied upon by the Parties in executing this <br />Agreement, constitutes the entire agreement and understanding among and between the Parties <br />and supersedes any and all other agreements whether oral or written between the Parties. <br />11. Titles. Titles in this Agreement are inserted only as a matter of convenience and <br />are for reference purposes only. Such titles are not intended to define, limit, extend, or describe <br />the scope of this Agreement, or the intent of any provision thereof. <br />12. Severability.
