INSURANCE ON FILE <br />WORK MAY PROCEED A-2021-175-03A <br />UNTIL INSURANCE EXPIRES <br />CTf-- L <br />CITY CLERK <br />DATE: <br />FIRST AMENDMENT TO HOMELESS HOUSING, ASSISTANCE AND <br />0 = CDC CD) PREVENTION SUBCONTRACTOR AGREEMENT BETWEEN THE CITY OF SANTA <br />(E. 9.1 us) fIne <br />ANA AND THE ILLUNIINATION FOUNDATION <br />THIS FIRST AMENDMENT to the Homeless Housing, Assistance and Prevention <br />Subcontractor Agreement is entered into on October A-�---, 2023, by and between The Illumination <br />Foundation ("Subcontractor"), and the City of Santa Ana, a charter city and municipal corporation <br />v organized and existing under the Constitution and laws of the State of California ("City"). <br />a) <br />RECITALS <br />c.� <br />A. The parties entered into Agreement No. A-2021-175, dated September 7, , 2021, by which <br />Contractor agreed to operate the Homeless Navigation Center located at 1815 E. Carnegie <br />in the City of Santa Ana ("Agreement"). The term of the Agreement runs through June <br />30, 2026 with the option for the City to grant up to two (2) , two (2) year renewals, and the <br />Agreement is current and in -effect. <br />B. Contractor entered into Agreement No. A-2021-175-03 with the City dated December 10, <br />2021 for Homeless Housing, Assistance and Prevention funds. <br />C. Additional funding from the State was awarded to the City on December 5, 2022 as part of <br />the State of California Agreement # 22-HHAP-20004. The Parties have determined the <br />funding is required for the tad year operations at the Homeless Navigation Center. <br />D. In accordance with the terms and conditions of said Agreement, the Parties desire to amend <br />Section 3 — Disbursement and Funds of Agreement A-2021-175-03, to increase the <br />maximum amount of Compensation for said Agreement. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions of said Agreement, except as herein modified, the parties agree as follows: <br />1. Section 3(a), DISBURSEMENT AND FUNDS, shall be amended to increase the maximum <br />amount of compensation by $2,463,999.90, such that the total sum to be expended under said <br />Agreement shall not exceed $4,504,991.90 during the term of said Agreement. This total not <br />to exceed amount of compensation is not guaranteed to Subcontractor. Rather, Subcontractor <br />will only be paid for sufficient services provided during the term of said Agreement. Once <br />said Agreement is terminated, the City shall not be responsible for any further payments to <br />Subcontractor other than payment for services provided by Subcontractor during the term of <br />the Agreement. <br />2. Except as modified by this First Amendment, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />Page 1 of 2 <br />
