INSURANCE ON FILE WORK MAY PROCEED A-2021-175-03A UNTIL INSURANCE EXPIRES CTf-- L CITY CLERK DATE: FIRST AMENDMENT TO HOMELESS HOUSING, ASSISTANCE AND 0 = CDC CD) PREVENTION SUBCONTRACTOR AGREEMENT BETWEEN THE CITY OF SANTA (E. 9.1 us) fIne ANA AND THE ILLUNIINATION FOUNDATION THIS FIRST AMENDMENT to the Homeless Housing, Assistance and Prevention Subcontractor Agreement is entered into on October A-�---, 2023, by and between The Illumination Foundation ("Subcontractor"), and the City of Santa Ana, a charter city and municipal corporation v organized and existing under the Constitution and laws of the State of California ("City"). a) RECITALS c.� A. The parties entered into Agreement No. A-2021-175, dated September 7, , 2021, by which Contractor agreed to operate the Homeless Navigation Center located at 1815 E. Carnegie in the City of Santa Ana ("Agreement"). The term of the Agreement runs through June 30, 2026 with the option for the City to grant up to two (2) , two (2) year renewals, and the Agreement is current and in -effect. B. Contractor entered into Agreement No. A-2021-175-03 with the City dated December 10, 2021 for Homeless Housing, Assistance and Prevention funds. C. Additional funding from the State was awarded to the City on December 5, 2022 as part of the State of California Agreement # 22-HHAP-20004. The Parties have determined the funding is required for the tad year operations at the Homeless Navigation Center. D. In accordance with the terms and conditions of said Agreement, the Parties desire to amend Section 3 — Disbursement and Funds of Agreement A-2021-175-03, to increase the maximum amount of Compensation for said Agreement. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions of said Agreement, except as herein modified, the parties agree as follows: 1. Section 3(a), DISBURSEMENT AND FUNDS, shall be amended to increase the maximum amount of compensation by $2,463,999.90, such that the total sum to be expended under said Agreement shall not exceed $4,504,991.90 during the term of said Agreement. This total not to exceed amount of compensation is not guaranteed to Subcontractor. Rather, Subcontractor will only be paid for sufficient services provided during the term of said Agreement. Once said Agreement is terminated, the City shall not be responsible for any further payments to Subcontractor other than payment for services provided by Subcontractor during the term of the Agreement. 2. Except as modified by this First Amendment, all terms and conditions of said Agreement shall remain in full force and effect. Page 1 of 2
