1.06 Member Agencies may modify, upgrade, or otherwise alter any of their <br />internal systems or processes without approval of the ILJAOC, as long as those <br />modifications do not inhibit the exchange of offender data and systems implemented <br />and/or funded by the prior action of the ILJAOC. Notwithstanding anything to the <br />contrary herein, a Member Agency shall have no obligation to seek approval from the <br />ILJAOC for any modification to that Member Agency's internal systems or processes that <br />is mandated by the State, or by any law or regulation governing the affected Member <br />Agency. <br />1.07 In gathering and sharing information, and in all other respects in performing <br />acts related to this Agreement, the parties will comply with all applicable laws, rules, and <br />regulations. <br />CREATION OF THE INTEGRATED LAW & JUSTICE <br />AGENCY FOR ORANGE COUNTY <br />2.01 By this Agreement, the Member Agencies hereby create a separate legal <br />entity to be known as the Integrated Law & Justice A-gency for Orange Countv ("ILJAOC"). <br />The Member Agencies may agree on a different name for the ILJAOC. <br />2.02 The ILJAOC shall possess in its own name, and the Member Agencies <br />delegate to it, the following enumerated powers: <br />a) To make and enter into contracts consistent with this Agreement, including, <br />but not limited to, contracts to purchase and/or dispose of supplies and <br />equipment to carry out the implementation of the Strategic Plan and any <br />adopted amendments to that plan. <br />b) To receive compensation, gifts, contributions, and donations of property, <br />funds, services, and other forms of financial assistance from persons, firms, <br />corporations, and any governmental entity. <br />c) To sue and be sued in its own name. <br />5 <br />
