23 <br />SCHEDULE A-1: <br />RECORDKEEPING SERVICES & FEE SCHEDULE <br />for the <br />LIST OF PLANS <br />1. City of Santa Ana Deferred Compensation Plan (“457(b) Plan”) <br />Empower Group Account Number: 960140 <br />1. GENERAL <br />This Recordkeeping Services Schedule (“Schedule”) is a separate agreement between the parties <br />hereto and incorporates the terms and conditions of the MSA (“Agreement”) between Empower Annuity <br />Insurance Company and Plan Sponsor. All references to “Empower” in this Schedule are deemed to be <br />references to Empower or the Empower Affiliate, as the case may be, that enters into this Schedule. <br />Capitalized terms used but not defined herein shall have the meanings given to them in the Agreement. <br />Any conflict between this Schedule and the terms of the Agreement shall be resolved in favor of the <br />Agreement, unless this Schedule specifically states that its provision will prevail. <br />2. SCHEDULE TERM <br />2.1. The Effective Date of this Schedule is October 1, 2023 (“Schedule Effective Date”), or <br />such later date as it has been signed by both Plan Sponsor and Empower. The term of this Schedule is for <br />a period of three (3) years, from October 1, 2023 through September 30, 2026. The City may, at its <br />discretion, extend the agreement with the same or more limited scope of required services for one (1) <br />additional two (2) year period, upon mutual agreement contingent upon City Council approval, or City <br />Manager or City Attorney authorization, as appropriate unless terminated in accordance with Section 11 <br />Term & Termination] of the Agreement. The total term of the awarded agreement shall not exceed five (5) <br />years. The termination of this Schedule shall also operate as a termination of all Schedules to the <br />Agreement. <br />2.2. Upon termination, Plan Sponsor Directs Empower to deduct any and all outstanding <br />expenses and fees owed to Empower from the Plan’s trust on the termination date, unless paid by the Plan <br />Sponsor. Plan Sponsor agrees to amend the Plan, if necessary, to provide for the payment of expenses <br />from the Plan consistent with the foregoing. Upon termination of this Schedule, Empower will cease to <br />provide the Services herein. Plan Sponsor acknowledges that after the termin ation of this Schedule, Plan <br />Sponsor will be responsible for performing all actions required to be taken with respect to the Plan including, <br />but not limited to: processing of contributions, loans and distributions, and the distribution of forms to <br />Participants. On and after the actual date of termination of this Schedule, Empower shall have no further <br />obligations hereunder except as set forth in Section 12 [Transition Assistance Services]. <br />3 NATURE OF EMPOWER’S SERVICES
