72 <br />EXHIBIT B-1: <br />DISCRETIONARY INVESTMENT ADVISORY AND NON -DISCRETIONARY SERVICES <br />The parties agree that the Services under this Schedule will commence upon a date as directed by the Plan <br />Sponsor and mutually agreed to by the parties, as administratively and operationally feasible. <br />1. GENERAL DESCRIPTION OF SERVICES <br />1.1 Adviser provides a full suite of discretionary and non -discretionary investment advisory <br />services to eligible Participants as selected by the Plan Sponsor. Such services may include set -up <br />services, communications, reporting, investment recommendations, and initiation of investment <br />transactions, subject to the terms and conditions of the Schedule and this Exhibit, as the same may be <br />amended in writing by the Parties from time to time. <br />1.2 As part of its Services, Adviser provides Participants access by telephone to the telephone <br />call center (investment adviser representatives available from 7:00 a.m. to 8:00 p.m. Central Time, Business <br />Days), and Adviser shall provide Participants, and desi gnated representatives of Plan Sponsor, web access <br />to Plan and Participant account information, subject to periodic maintenance and system availability. <br />2. SERVICE ELECTIONS <br />2.1 Managed Account Service. <br />2.1.1 As further described in Adviser’s Form ADV Broch ure, the Managed Account <br />Service provides discretionary advisory services, consisting of personalized portfolios created by <br />Subadviser based upon the Investment Options available in the Plan, to Managed Account Participants. <br />The Managed Account Service allocates enrolled Participant accounts to personalized portfolios, and <br />automatically rebalances portfolio allocations if Adviser believes rebalancing to be appropriate. <br />2.1.2 Unless otherwise agreed to by the parties, Adviser will construct portfolios using <br />the Plan’s core Investment Options (“Core Investment Options”), which are those Investment Options <br />selected for use in the Plan by Plan Sponsor that provide investment choices under the following asset <br />categories: Fixed Income/Cash, Bond, Large Cap, Small/Mid Cap, and International. <br />2.1.3 Core Investment Options do not include any employer stock alternatives or self - <br />directed brokerage option alternatives. Unless the Plan Sponsor restricts Adviser from selling employer <br />stock held in an account managed by Adviser, Adviser will liquidate employer stock held in an account that <br />Adviser manages. The Plan must select and at all times maintain Core Investment Options that cover the <br />broad asset categories in order to utilize the Managed Account Service and the Online Advice Service. <br />Managed Account Participants may further customize their portfolio by providing additional information to <br />Adviser by phone or online and such information shall be considered by Subadviser to determine portfolio <br />recommendations for the Managed Account Participant.
