INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />G1�1141-x <br />CITY CLERK <br />DATE: <br />N-2023-287 <br />CONSULTANT AGREEMENT <br />CITY OF SANTA ANA <br />THIS AGREEMENT is made and entered into on this 5th day of October, 2023 by and between <br />Amanda Tran ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"). <br />M <br />o RECITALS <br />c�i A. The City desires to retain a Consultant having special skill and knowledge in the field of <br />v community engagement, media, and design. <br />0 <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required <br />to fully and adequately provide support services for Councilmember Thai Viet Phan <br />("Councilmember") as provided in this Agreement and in the Scope of Services, <br />Exhibit A, attached hereto and incorporated by reference. <br />b. At the direction of Councilmember, Consultant shall perform a variety of functions and <br />tasks, including, but not limited to, conducting constituent outreach, designing <br />materials, and providing media services, where necessary. <br />c. As may be required for services at City Hall, the City may provide temporary office <br />space, and facility access — consistent with City procedures — should Consultant require <br />limited access to perform services required by the Councilmember. Consultant shall <br />maintain a business location separate from City, and Consultant understands that such <br />temporary office space and/or facility access is not required by the City but provided <br />to the Consultant on an as -needed basis. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for Consultant's <br />services for City, in accordance with the rates and terms defined in this section and <br />further identified in Compensation - Exhibit B, attached hereto and incorporated by <br />1 of 9 <br />
