On November 17, 2020, the City engaged Consultant to prepare a set of information videos for the City, after City selected Consultant's proposal to the City's Request for Proposal No. 20-103 for such services. B. The now City desires to retain Consultant to provide edits to work previously completed by Consultant under the prior Agreement by updating the informational videos with new materials for the benefit, and use, of said informational videos by the citizens of the City of Santa Ana. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional contracting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES a. Consultant shall perform during the term of this agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services described and set forth in the in Exhibit A, attached hereto and incorporated by reference. 2. COMPENSATION a. City agrees to pay, and consultant agrees to accept as total payment for its services for the City, the rates and charges identified in Exhibit A. The total amount to be expended during the term of this Agreement shall not exceed $15,000.00. This amount includes the base amount of $10,290.50 and a contingency amount of $4,709.50 to compensate the Consultant for any additional and as -needed services to be exercised at the sole discretion of the City for said services. b. Payment by City shall be made within forty-five (45) days following receipt of proper invoice evidencing workperformed, subject to City accounting procedures.
