ADDENDUM TO MASTER CONSULTING SERVICES AGREEMENT <br />BETWEEN CPS HR CONSULTING AND THE CITY OF SANTA ANA <br />Addendum to this Master Consulting Services Agreement, the Parties agree to recognize the <br />listed additions, strikeouts, and new sections to the Agreement: <br />Section C3. Late Payment. Is stricken. <br />Section E.I. Term: <br />The term of this Agreement is from the Effective Date through June 30, 2024 with the option <br />for the City to grant up to two (2) one (1) year renewals, exercisable by a writing by the City <br />Manager and the City Attorney, unless terminated earlier in accordance with Section E.2 and <br />E.3, herein. <br />Section I. Indemnification <br />CPS HR agrees to indemnify and hold Client, its agents, officers, employees and volunteers <br />harmless from and against any and all losses, liabilities and damages arising from or related to a <br />claim of bodily injury or property damage resulting from CPS HR's willful misconduct or negligent <br />performance of this Agreement; provided that, Client notifies CPS HR in a commercially <br />reasonable time, in writing of any such claim and gives CPS uo (at CPS HR'5 expense) Seep G..R#Al <br />of the d..fPn;P Af game and all .. getiatie s for itq gettl..ment eF GE......Fem <br />Section L. Insurance <br />Coverage shall be at least as broad as: <br />1. Workers' Compensation insurance as required by the State of California, with Statutory <br />Limits, and Employer's Liability Insurance with limit of no less than $1,000,000 per accident for <br />bodily injury or disease. (Not required if consultant provides written verification it has no <br />employees) <br />2. Professional Liability (Errors and Omissions) Insurance appropriates to the Consultant's <br />profession, with limit no less than $1,000,000 per occurrence or claim, $2,000,000 aggregate. <br />If the Consultant maintains broader coverage and/or higher limits than the minimums shown <br />above, the City requires and shall be entitled to the broader coverage and/or the higher limits <br />maintained by the contractor. Any available insurance proceeds in excess of the specified <br />minimum limits of insurance and coverage shall be available to the City. <br />Other Insurance Provisions <br />The insurance policies are to contain, or be endorsed to contain, the following provisions: <br />
