INSURANCE ON FILE _ <br />woNiflv�'�'' WOCErb N-2024-026 <br />UNTIL INSURANCE EXPIRES <br />G"C12F1� <br />CITY CLERK <br />DATE: JAN 18 2024 <br />9V-CAA(4\•',� AGREEMENT WITH THE REGENTS OF THE UNIVERSITY OF CALIFORNIA ON <br />�Q,Xkernanc�y BEHALF OF ITS UC COOPERATIVE EXTENSION FOR ORANGE COUNTY, FOR <br />EXPANDED FOOD AND NUTRITION CLASSES <br />THIS AGREEMENT is made and entered into on this 14th day of December, 2023 by and between <br />The Regents of the University of California, on behalf of its UC Agriculture and Natural Resources <br />and its UC Cooperative Extension for Orange County (collectively, "UCCE"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a provider having special skill and knowledge in the field of food <br />and nutrition to provide food and nutrition programming. <br />B. UCCE represents that UCCE is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, UCCE represents that it is <br />knowledgeable in its field and that any services performed by UCCE under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from <br />a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. UCCE shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work <br />required to fully and adequately complete the services described and set forth in <br />Exhibit A, attached hereto and incorporated by reference. <br />b. UCCE shall perform the tasks and obligations set forth in Exhibit A from 6:00 p.m. <br />to 7:00 p.m. on the following dates: <br />i. January 18 and 25, 2024; <br />ii. February 1, 8, 15, 22, and 29, 2024; and <br />iii. March 7, 2024. <br />c. UCCE shall perform the tasks and obligations set forth in Exhibit A on the dates <br />set forth above at the Roosevelt Walker Community Center. <br />Page 1 of 9 <br />#19793v4 <br />
