Sepal e � "` THIRD A <br />N-2019-187-05 <br />THIS THIRD AMENDMENT to the above -referenced agreement is entered into on January 22, <br />2024, by and between Infinity Communications and Consulting, hic. ("Consultant"), and the City <br />of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City"). City and Consultant shall hereinafter <br />collectively be referred to as "the Parties." <br />RECITALS <br />A. The Parties entered into Agreement No. N-2019-187, dated July 9, 2019, by which <br />Consultant agreed to provide consulting and program compliance services for the E-Rate <br />School and Libraries Program ("Agreement'). <br />B. On June 29, 2021, the Parties entered into a First Amendment (#N-2019-187-02) to expand <br />the Scope of Services previously established and to increase compensation in connection <br />with the additional scope of work by Ten Thousand Dollars and Zero Cents ($10,000.00). <br />C. On July 1, 2022, the Parties entered into a Second Amendment (#N-2019-187-04) to add <br />additional design consulting services for the Main Library and Newhope Library E-Rate <br />projects, increase the compensation, extend the term of the Agreement, and update the <br />insurance requirements for the expanded services. <br />D. The Parties wish to further amend the Agreement to revise the scope of services and adjust <br />costs/compensation amounts for the revised services. <br />The Parties therefore agree: <br />Section 1, Scope of Services, is hereby amended to remove and replace the scope of services <br />with the projects outlined in Exhibit B-3, attached hereto and incorporated by reference. Said <br />revisions include removal of design services for the Newhope Library and expand services at <br />the Main Library E-Rate projects; and <br />2. Section 2(a), Compensation, is hereby amended to revise the compensation to be expended <br />during the term of the Agreement, including any extension periods, in an amount not -to -exceed <br />$45,540. This amount includes the base amount of $41,400 and a contingency amount of <br />$4,140 for services provided at the sole discretion of the City. <br />3. Except as modified by this Third Amendment, all terms and conditions of the Agreement, as <br />amended, shall remain in full force and effect. <br />[signatures on nextpage] <br />Page 1 <br />
