WHEREAS, City acknowledges and affirms that actions approved or taken by the <br />Board shall be binding on City regardless of the vote of its designee or her/his presence <br />when the action was taken; <br />WHEREAS, City acknowledges and affirms that each appointee is individually <br />expected to meet all legal obligations of Board service, perform all duties set forth in <br />ICRMA's Governing Documents, and serve with keen attention to ICRMA's purpose and <br />high professional standards. <br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SANTA ANA AS <br />FOLLOWS: <br />Section 2. That City's Human Resources Department Risk Manager is <br />hereby appointed to serve as Voting Director on the ICRMA Board of Directors. <br />Section 3. That City's Human Resources Department Senior Risk <br />Management Analyst is hereby appointed as alternate to serve on the ICRMA Board <br />of Directors in the absence of the primary member. <br />Section 4. That the individuals designated by this City Council as the City's <br />Voting Director and alternate to serve on the ICRMA Board of Directors are hereby <br />confirmed and designated as the City's delegates for all purposes of representing the <br />City's interests and exercising the authority of the City with respect to all matters <br />delegated to the ICRMA Board of Directors and signing all amendments as are <br />contemplated to be approved by ICRMA Board of Directors. <br />Section 5. This Resolution shall take effect immediately upon its adoption by <br />the City Council and if necessary approved by ICRMA, the City Clerk shall attest to <br />and certify the vote adopting this Resolution. <br />Section 6. That the City Clerk is directed to forward a certified copy of this <br />Resolution to the Executive Director of ICRMA, 18201 Von Karman, Suite 200, Irvine, <br />CA 92612, before it is deemed effective. <br />ADOPTED this 511 day of March, 2024. <br />Resolution No. 2024-004 <br />Page 2 of 3 <br />
