FIRST AMENDMENT TO CONTRACTOR AGREEMENT FOR <br />ON -CALL ENGINEERING SERVICES WITH HUITT-ZOLLARS, INC. <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on March 19, <br />2024, by and between Huitt-Zollars, Inc., ("Contractor") and the City of Santa Ana, a charter city <br />and municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2022-158-05 ("Agreement") dated August 16, <br />2022, to provide on -call water resources engineering services. The Agreement term runs <br />until August 15, 2025, with up to two (2) one (1) year optional extensions of the term, <br />exercisable by the City. The Agreement is current and in effect. <br />B. Contractor is one (1) of six (6) contractors selected to provide said services. Each of the <br />six (6) contractors shares an aggregate compensation amount to pay for on -call services <br />provided to the City under the terms of the Agreement. <br />C. The parties wish to amend the Agreement to increase the total "not to exceed" aggregate <br />amount available to compensate the contractors under the Agreement. No other changes <br />are contemplated by this First Amendment. <br />The Parties therefore agree: <br />1. Section 2.a., Compensation, is hereby amended to increase the total aggregate amount <br />available for all six (6) contractors, for on -call services provided to the City, by $750,000. <br />The total aggregate amount, among the six contractors, shall not exceed the shared <br />aggregate amount of $2,750,000, during the term of this Agreement, including any <br />extension periods. <br />2. Except as modified by this First Amendment, all terms and conditions of the Agreement <br />shall remain in full force and effect. <br />[signature page to follow] <br />
