INSURANCE ON FILE <br />WORK MAY PROCEED N-2024-099 <br />UNTIL INSURANCE EXPIRES <br />1' <br />F-5 cLulk 1910 <br />DATE: <br />CONSULTANT AGREEMENT WITH KAISER FOUNDATION HEALTH PLAN, INC. <br />0 % N U i FOR KAISER PERMANENTE MOBILE HEALTH VEHICLE <br />r <br />THIS AGREEMENT is made and entered into on this 21 st day of February, 2024, by and between <br />Kaiser Foundation Health Plan, Inc., a California corporation ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />providing mobile health vehicles services for biometric screenings (blood pressure, BMI, <br />glucose, and cholesterol). <br />B. Consultant represents that it is able and willing to provide such services to the City <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />I�111Z1] W at$] OM DI:11Is) <br />a. Consultant shall perform during the term of this Agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental customary work <br />required to fully and adequately complete the services described and set forth in the attached <br />Service Forms from Consultant for the following locations, dates, and times attached hereto as <br />Exhibit A and as further described below: <br />• Santa Ana Civic Center; 20 Civic Center Plaza; March 20, 2024 (8:00 a.m. to 3:00 <br />P.M.) <br />• Santa Ana Police Department; 60 Civic Center Plaza; March 21, 2024 (12:00 p.m. to <br />5:00 p.m.) <br />• City Yard; 215 S. Center St.; April 3, 2024 (6:45 a.m. to 11:45 a.m.) <br />2. COMPENSATION <br />a. As outlined in Exhibit A, Consultant will be covering the cost in full for the Scope <br />of Services on the condition that the City is able to produce, at a minimum, six (6) <br />participants per hour and at least 32 participants in total for biometric screenings at <br />each event. If the City is unable to meet the minimum participant requirement, the <br />City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />a sum as outlined in Exhibit A, but in no event shall said sum exceed $7,700.00. <br />
