"Term Obligations" means Obligations which are payable on or before their specified <br />maturity dates from sinking fund payments established for that purpose and calculated to retire <br />such Obligations on or before their specified maturity dates. <br />"Trustee" means a financial institution acting in its capacity as Trustee under and pursuant <br />to the Issuing Instrument, and its successors and assigns. <br />"Variable Rate Indebtedness" means any portion of indebtedness evidenced by Parity <br />Obligations the interest rate on which is not established at the time of incurrence of such <br />indebtedness and has not, at some subsequent date, been established at a rate which is not subject <br />to fluctuation or subsequent adjustment, excluding Paired Obligations. <br />"Water Revenue Fund" has the meaning ascribed thereto in Section 5.02 hereof. <br />"Water Service" means the water storage and distribution services made available or <br />provided by the Water System. <br />"Water System" means any and all facilities, properties and improvements at any time <br />owned, controlled or operated by the City as part of the Water Revenue Fund (defined in Section <br />5.02 hereof) for the collection, treatment, distribution, administration, disposal or reclamation of <br />water. <br />"2014 Master Installment Purchase Agreement" means the Master Installment Purchase <br />Agreement, dated as of August 1, 2014, by and between the City and the Santa Ana Financing <br />Authority. <br />SECTION 1.02. Rules of Construction. Words of the masculine gender shall be deemed <br />and construed to include correlative words of the feminine and neutral genders. Except where the <br />context otherwise requires, words importing the singular number shall include the plural number <br />and vice versa, and words importing persons shall include corporations and associations, including <br />districts, agencies and other public bodies, as well as natural persons. Unless otherwise indicated, <br />references herein to subsections, "Sections" and "Articles" are to such subsections, Sections and <br />Articles of this Installment Purchase Agreement. Unless the context requires otherwise, the terms <br />"herein," "hereof," "hereunder" and any similar terms, as used in this Installment Purchase <br />Agreement, shall refer to this Installment Purchase Agreement as a whole and not to any particular <br />provisions of this Installment Purchase Agreement. The term "issue" shall include issuance, <br />creation, incurrence, entering into an agreement or any other act pursuant to which the City may <br />become obligated with respect to an Obligation. <br />12 <br />55394.00068\42092413.3 <br />
