15. Periodic Review of Compliance with Agreement. The City <br />shall review this Agreement at least once every twelve (12) months <br />from the date this Agreement is executed. During each periodic <br />review by the City, SFLI shall demonstrate good faith compliance <br />with the terms of this Agreement. SFLI agrees to furnish such <br />evidence of good faith compliance as the City in a reasonable <br />exercise of its discretion may require. Evidence of good faith <br />compliance may include, but is not necessarily limited to, the <br />following: (i) compliance with the requirements of the Develop- <br />ment Standards, and (ii) compliance with the requirements of <br /> <br />Paragraph 12 hereof. <br /> <br /> 16. Amendment or Cancellation of A~reement. This Agreement <br />may be amended or cancelled in whole or in part only by mutual <br />consent of the parties or their successors-in-interest, in the <br />manner provided for by California Government Code Sections 65865.1, <br />65867, 65867.5 and 65868. <br /> <br /> 17. Hold Harmless. SFLI agrees to hold harmless the City, <br />its officers, agents, employees and representatives from liability <br />for damage or claims for damage for personal injury and property <br />damage which may arise from the direct or indirect operations of <br />SFLI or those of its contractors, subcontractors, agents, employees <br />or other person acting on its behalf in connection with the devel- <br />opment and use of the real property.
