Andreani, Esq. <br />Partner <br /> <br />Notice of a change of address shall be delivered in the same <br />manner as any other notice provided herein, and shall be <br />effective three days after mailing by the above-described <br />procedure. <br /> <br />21. Default and Remedies. <br /> <br />(a) Developer's Default. Developer shall be in <br />default under this Agreement upon the happening of one or more <br />of the following events or conditions: <br /> <br />i) If a material warranty, representation <br />or statement made or furnished by Developer to the city is <br />false or proves to have been false in any material respect when <br />it was made; <br /> <br />ii) A finding and determination by the City <br />council made following a periodic review under Section 15 that <br />upon the basis of substantial evidence, Developer has not <br />complied in good faith with a material requirement of this <br />Development Agreement; or <br /> <br />iii) An express repudiation, refusal or <br />renunciation of this Development Agreement, if the same is in <br />writing and signed by the Developer. <br /> <br />(b) citv's Default. The city shall be in <br />default under this Development if it shall: <br /> <br />i) fail to comply in good faith with the <br />requirements hereof regarding the permitted development <br /> <br />15 <br />
