d. Provide access to the Oversight Board to City and former redevelopment agency documents at <br />the direction of the Successor Agency. <br />e. Monitor the County distribution of tax -sharing revenues to the taxing entities of the former <br />redevelopment agency. <br />f. Advice and consultation on the City/Successor Agency's preparation of required reports <br />g. Analysis of legislative and judicial matters impacting Redevelopment Property Tax Trust Fund <br />(RPTTF) <br />h. Provide an annual estimate of the residual revenue to be received from the RPTTF for the <br />current year and four subsequent years. <br />3. SOFTWARE USE AND PROPRIETARY INFORMATION <br />3.1 Software Use. CONSULTANT hereby provides authorization to CITY to access <br />CONSULTANT'S Property Tax website if CITY chooses to subscribe to the software and reports <br />option. The website shall only be used by authorized CITY staff. No access will be granted to any <br />third party without explicit written authorization by CONSULTANT. CITY shall not sublet, <br />duplicate, modify, decompile, reverse engineer, disassemble, or attempt to derive the source code <br />of said software. The software use granted hereunder shall not imply ownership by CITY of said <br />software, or any right of CITY to sell said software or the use of same, or any right to use said <br />software for the benefit of others. This software use authorization is not transferable. Upon <br />termination or expiration of this Agreement, the software use authorization shall expire, and all <br />CITY staff website logins shall be de -activated. <br />3.2 Proprietary Information. As used herein, the term "proprietary information" means all information <br />or material that has or could have commercial value or other utility in CONSULTANT'S business, <br />including without limitation: CONSULTANT'S (i) computer or data processing programs; (n) <br />data processing applications, routines, subroutines, techniques or systems; desktop or web -based <br />software; (iii) business processes; (iv) marketing plans, analysis and strategies; and (v) materials <br />and techniques used; as well as the terms and conditions of this Agreement. Except as otherwise <br />required by law, CITY shall hold in confidence and shall not use (except as expressly authorized <br />by this Agreement) or disclose to any other party any proprietary information provided, learned <br />of or obtained by CITY in connection with this Agreement. The obligations imposed by this <br />Section shall survive any expiration or termination of this Agreement or otherwise. The terms of <br />this Section shall not apply to any information that is public information. <br />SECTION II: FEES & CHARGES <br />1. ANNUAL SERVICES <br />1.1. Base fixed fee $28,000 per year (billed $7,000 per quarter) <br />1.2.In addition to the Base Fixed Fee, we will receive a contingent fee of 25% of net tax revenues <br />recovered for the City through the audits we perform. Net tax revenues mean the taxes received by <br />the City through our audit efforts. Contingency fee shall not exceed $15,000 per year. <br />2. OPTIONAL SERVICES <br />2.1 Work that is requested by the City that is beyond the scope of services in this <br />proposal shall be charged on a time and material basis. No work shall be performed <br />without prior written approval by the City. Fees for these services are as follows: <br />
