13 F� <br />LEGAL SERVICES AGREEMENT 40,4 <br />6 - Cl� <br />THIS AGREEMENT, entered into this 24th day of November, 1999, by and between the <br />City of Santa Ana, a charter city and municipal corporation of the State of California ("City") and <br />Carlton, DiSante & Freudenberger LLP ("Attorneys"). <br />A. WIIERE AS, City desires to employ Attorneys to assist the City Attorney in the <br />provision of legal services to the City; and <br />B. WHEREAS, Attorneys represent that they are licensed to practice law in the State <br />of California, have special experience and knowledge in the fields of employment law, public entity <br />labor law and municipal litigation, and desire to undertake said employment; <br />WHEREFORE, for and in consideration of their respective and mutual covenants and <br />agreements hereinafter contained, and subject to all the terms and conditions hereof, the parties <br />hereto do hereby agree as follows: <br />EMPLOYMENT OF ATTORNEYS. <br />City hereby agrees to and does employ Attorneys, for the compensation hereinafter <br />specified, to represent the City in claims filed against the City for violation of state and federal laws <br />relating to overtime compensation and review of City policies, procedures and practices related to <br />the FLSA as directed by the City Attorney. <br />2. PAYMENT FOR SERVICES RENDERED. <br />A. FEES <br />City agrees to compensate Attorneys, and Attorneys agree to accept from City, as and for <br />payment in full for all of said services in regard to each such action, compensation at a maximum <br />rate of $195.00 per hour. Attorneys agree that without written consent of City, only the following <br />attorneys shall be allowed to bill for services under this agreement: <br />Timothy M. Freudenberger <br />Jennifer White -Sperling <br />Todd R. Wulffson <br />City, shall, within 30 days of receipt of a bill for services rendered, pay ATTORNEY'S <br />fees, as identified in this AGREEMENT, subject to the City's accounting procedures. <br />B. REIMBURSEMENT FOR COSTS <br />City agrees to reimburse Attorneys for reasonable travel, subsistence, and other out-of- <br />pocket expenses authorized by the City Attorney in connection with the performance of duties under <br />this Agreement. <br />
