THIS ENDORSEMENT CHANGES THE POLICY. PLEASE READ IT CAREFULLY. <br />ENDORSEMENT NO.: 5 <br />POLICY NO.: EF 000578 <br />EFFECTIVE DATE: 10-3-99 <br />ISSUED TO: Faustman, Carlton, DiSante & Freudenberger LLP <br />This endorsement modifies insurance provided under the following: <br />LAWYERS PROFESSIONAL LIABILITY INSURANCE <br />TWO YEAR ENDORSEMENT <br />In consideration of the premium charged, it is agreed that the Company will not cancel, but will renew upon <br />expiration of the policy period for an additional policy period on terms and conditions at least equal to those of the <br />expiring policy and with limits of liability equal to the limits of liability of this policy, unless: <br />during the policy period, <br />a, the Named Insured shall consolidate with or merge Into, or sell all or substantially all of its <br />assets; or <br />the Named Insured has been adjudicated bankrupt or insolVent or has made an assignment <br />for the benefit of creditors, or Is the subject of a bankruptcy petition and the matter is <br />pending at the expiration of the policy period; or <br />2. the Company has not been, provided within 30 days of the expiration of the policy period with a properly <br />completed renewal application or supplementary information necessary for renewal underwriting; or <br />3. the Company cannot issue a policy on the same terms and conditions as the expiring policy due to changes <br />in applicable insurance laws or regulations, insurance department action, or changes in applicable <br />reinsurance agreements; or <br />4. the Insured has failed to pay any premium or deductible sums owed under the policy or any other policy <br />issued. by the company; or <br />5. during the policy period the Company pays or reserves an amount equal to or greater than the greater of: <br />(a) the amount shown on the Declarations as the amount of the each claim deductible, or (b) $50,000. <br />The per attorney premium rate for the renewal of the policy pursuant to the above shall not exceed 105% of the <br />expiring policy period. <br />All other terms and conditions of the policy remain unchanged. <br />S1663-EO (9/98) <br />
