b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully <br />set forth in the body of this Agreement. <br />17 NO COMMITMENT TO ENTER INTO ANY FURTHER AGREEMENT, <br />The parties to this Agreement each understand and acknowledge that neither the <br />City nor the Agency has reached any agreement with respect to the ultimate <br />redevelopment of this Building, and that nothing in this Agreement constitutes a promise <br />orcommitmenttoward reaching such an agreement Griffin explicitly acknowledges and <br />agrees that the City and Agency remain free to negotiate for the ultimate redevelopment <br />of the Phillips Hutton Building with any party. <br />18. EXCLUSIVITY AND AMENDMENT OF AGREEMENT: <br />This Agreement supersedes any and all other Agreements either oral or in writing <br />between the parties hereto with respect to the obligations mentioned herein, including but <br />not limited to the 1999 and 2001 feasibility agreements between Griffin Realty Corp., <br />Inc. and the Agency. Each party to this Agreement acknowledges that no representations, <br />inducements, promises or agreements, orally or otherwise, have been made by any patty, <br />or anyone acting on behalf of any party which are not embodied herein, and that no other <br />agreement or amendment hereto shall be effective unless executed in writing and signed <br />by both the City and Griffin. <br />IN WITNESS WHEREOF, the parties hereto have executed this Agreement the <br />(late and year first above written. <br />THE CITY OF SANTA ANA <br />ATTEST: `; <br />David N.
