b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. 17 NO COMMITMENT TO ENTER INTO ANY FURTHER AGREEMENT, The parties to this Agreement each understand and acknowledge that neither the City nor the Agency has reached any agreement with respect to the ultimate redevelopment of this Building, and that nothing in this Agreement constitutes a promise orcommitmenttoward reaching such an agreement Griffin explicitly acknowledges and agrees that the City and Agency remain free to negotiate for the ultimate redevelopment of the Phillips Hutton Building with any party. 18. EXCLUSIVITY AND AMENDMENT OF AGREEMENT: This Agreement supersedes any and all other Agreements either oral or in writing between the parties hereto with respect to the obligations mentioned herein, including but not limited to the 1999 and 2001 feasibility agreements between Griffin Realty Corp., Inc. and the Agency. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any patty, or anyone acting on behalf of any party which are not embodied herein, and that no other agreement or amendment hereto shall be effective unless executed in writing and signed by both the City and Griffin.
