-thy: affirmative action guidelines adopted by the City of Orange. ENGINEER agrees to post <br />in conspicuous places, available to employees and applicants for employment, notices to <br />be provided by Agency setting forth the provisions of this nondiscrimination clause. <br />B. ENGINEER, shall in all solicitations or advertisements for employees placed by <br />or on behalf of ENGINEER, state that all qualified applicants will receive consideration <br />for employment without regard to race, color, religion, sex, national origin, or <br />ancestry. <br />C. ENGINEER agrees to cause the :Foregoing provisions to be inserted in all <br />subcontracts for any work covered by this Agreement, so that such provisions will be <br />binding upon each subcontractor provided that the foregoing provisions shall not apply to <br />contract or subcontracts for standard commercial supplies or new materials. <br />D. Noncompliance with the affirmative action program will constitute a breach of <br />the terms of this Agreement. <br />11. Subcontractors: None of the services included in this. Agreement shall be <br />contracted without the prior approval of CITY or its designated representative. ENGINEER <br />shall be fully responsible to CITY for performance of subcontractors. <br />12. Assignability. ENGINEER shall riot assign or transfer any interest in this <br />Agreement, whether by assignment; or novation, without the prior, written consent: of CITY <br />or its designated representative, provided, however, that claims for money due or to <br />become due, ENGINEER from CITY under- this Agreement may be assigned to a bank, trust <br />company or other financial institution., or to a trustee in bankruptcy, without such <br />approval. Notice of any such assignment or transfer shall be promptly fizrnished to <br />CITY. <br />13. Validity: The invalidity in whole or :in part of any provision of this <br />Agreement shall not void or affect: the validity of any other provision of this Agreement. <br />61 <br />1 <br />
