E. Applicable Law. This Agreement shall be construed <br />in accordance with the laws of the State of California. <br />F. Inaction Not a Waiver of Default. Any failure or <br />delay by a party in asserting any of its rights and remedies <br />as to any default shall not operate as a waiver of any <br />default or of any such rights or remedies, or deprive such <br />party of its right to institute and maintain any actions or <br />proceedings which it may deem necessary to protect, assert, <br />or enforce any such rights or remedies. <br />Section 3. General Provisions. <br />A. Assignment. Prior to completion of construction of -- <br />the Project, Developer shall have the right to assign its <br />rights and obligations under this Agreement and the Site only <br />to a person or entity to which Developer is permitted to <br />assign and has assigned its rights under the DDA. <br />B. No Joint Venture or Partnership. City and <br />Developer mutually deny any intention to form a joint venture <br />or partnership, and agree that nothing contained herein or in <br />any document executed in connection herewith shall be <br />construed as making City and Developer joint venturers or <br />partners. <br />C. Covenants. The provisions of this Agreement <br />shall constitute covenants which shall run with the land <br />comprising the Site, and the benefits and burdens hereof <br />shall bind and inure to all successors in interest to the <br />parties hereto.
