A-2000-1 11 <br />S <br />AGREEMENT BETWEEN THE CITY OF SANTA ANA <br />AND <br />15--ol-00 C) <br />IMPLEMENTED DESIGNS, INC. <br />THIS AGREEMENT, is made and entered into this 18th of July, 2000, by and between the City <br />of Santa Arta, a charter city and municipal corporation duly organized and existing under the <br />Constitution and laws of the State of California ("City") and Implemented, Designs, file. <br />("Contractor"). <br />WHEREAS, the City desires to retain the services of Contractor to provide the City with <br />products and services related to raised access flooring. <br />THEREFORE, in consideration of their mutual and respective promises, the pal -ties <br />hereto do hereby state as follows: <br />1. Terms and Conditions <br />The term of this Agreement shall be for period of up to and including City's Final <br />Acceptance plus any subsequent training and/or set -vices provided under the proposal. <br />All terms and conditions more fully set forth in the Request for Proposals ("RFP"): <br />Request for Proposal: "Access Flooring for Telephone Center and Computer Center," 15 May <br />2000, shall have full force and effect in this Agreement. Said terms and conditions are attached <br />hereto as Exhibit A, and incorporated herein by reference. <br />All terms and conditions set forth in the Contractor's "Proposal for 'Access Flooring / <br />Computer Floor' ", May 31, 2000, shall have full force and effect in this Agreement. Said terms <br />and conditions are attached hereto as Exhibit B, and incorporated herein by reference. <br />Scope of Services <br />The scope of work and deliverables are described in section 2 of the Request for <br />Proposals ('JUP"): Request for Proposal: "Access Flooring for Telephone Center," <br />3. Insurance <br />The Contractor will be required to have the following insurance: <br />a. Commercial general liability - $1,000,000 or more covering bodily injury and <br />property damage per occurrence. <br />b. Business Auto including owned, non -owned, and hire vehicles - $ 1,000,000 or <br />more covering bodily injury and property damage per occurrence. <br />c. Workers' Compensation unless the Vendor is a sole proprietor with NO <br />employees. <br />
