N-2002-122-03 VV(M'MAY CLERK OF COUNCIL THIRD AMENDMENT TO AGREEMENT Pas (a) r-10P_e5) THIS THIRD AMENDMENT TO AGREEMENT is entered into on June 30, 2006, by and between Hygiene Technologies International, Inc., a California corporation ('*Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement No. N-2002-122 dated August 12, 2002, (hereinafter "said Agreement") by which Consultant has provided industrial hygiene testing. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said and increase compensation to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, as amended, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: I . Section 2, COMPENSATION, shall be amended to increase compensation by $10,000.00 to pay for services during the 2006-2007 fiscal year. Said section shall read in full as follows: "City agrees to pay, and Consultant agrees to accept as total payment tbr its services, the rates and charges identified in Exhibit A for the air quality Study and the following rates for on -call services: Expert field, preparation and research time $350.00 per hour Expert deposition and Court testimony 450.00 per hour Senior Industrial Hygienist 175.00 per hour Industrial Hygienist 125.00 per hour Word Processor 40.00 per hour Mileage .40 per mile The total sum to be expended Under this Agreement shall not exceed $10,000.00 during the 2006-2007 fiscal year," 2. Paragraph 3, TERM, shall be amended to extend the termination date of said Agreement from June 30, 2006 through :Tune 30, 2007.
