FIRST AMENDMENT TO AGR-EEMENTBETWEEN THE CITY OF SANTA ANA AND IRON MOUNTAIN OFF -SITE DATA PROTECTION (formerly Arcus Data Security) THIS FIRST AMENDMENT, made and entered into this I" day of December, 2001, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"), and Iron Mountain Off -site Data Protection (forinerly Arens Data Security) ("Contractor"). RECITALS A. The City and the Contractor entered into that certain agreement in April of 2000, hereinafter referred to as "said Agreement", for off -site data storage related services. B. The parties hereto now desire to amend said Agreement a first time to extent the terin of the agreement and to increase the maximum amount of compensation. WHEREFORE, in consideration of the Mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as f'ollows: 1. The term of this Agreement is amended to extend for a period of one year, beginning on December 01, 2001, and ending on or before 30 November 2002, with all option, at City's discretion, of two (2) additional, one (1) year renewals, 2. As full compensation for these extended and expanded services, City agrees to pay, and Contractor agrees to accept payment in an amount not to exceed $15,500,00. 3. The City will validate Contractor's parking for access and necessary visits in order to perform the Scope of Services (for parking in the lot south of City Hall). 4. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect.
