EXHIBIT 3 <br />may be made by the Executive Director of the Successor Agency, or designee. The <br />Executive Director of the Successor Agency is hereby authorized to execute the <br />Agreement, as so revised (including without limitation all attachments thereto), on behalf <br />of the Successor Agency, together with any instruments necessary or convenient to <br />implement the Agreement. A copy of the Agreement shall, when executed by the <br />Successor Agency, be placed on file in the Office of the Secretary of the Successor <br />Agency. <br />Section 5. The Executive Director of the Successor Agency, or designee, is <br />hereby authorized, on behalf of the Successor Agency, to make revisions to the <br />Agreement that do not materially or substantially increase the Successor Agency's <br />obligations thereunder or materially or substantially change the uses or development <br />permitted on the Property, to sign all documents to make all approvals and take all <br />actions necessary or appropriate to carry out and implement the Agreement and to <br />administer the Successor Agency's obligations, responsibilities and duties to be <br />performed under the Agreement and related documents. <br />Section 6. Pursuant to the California Environmental Quality Act (CEQA) <br />Guidelines, the sale of the Property is exempt from CEQA pursuant to CEQA Guidelines <br />Section 15061(b)(3) as the Property's existing use as a parking lot will continue, such <br />that the sale is covered by the common sense exemption that CEQA applies only to <br />projects which have the potential for causing a significant effect on the environment as it <br />can be seen with certainty that there is no possibility that the activity may have a <br />significant effect on the environment. Alternatively, the sale of the Property is exempt <br />from CEQA pursuant to CEQA Guidelines Section 15301 as the Property will continue <br />to be operated as a parking lot, its existing use. <br />Section 7. This Resolution shall take effect immediately upon its adoption by <br />the Successor Agency, and the Secretary of the Successor Agency shall attest to and <br />certify the vote adopting this Resolution. <br />Adopted this day of 120 <br />Valerie Amezcua <br />Chair <br />APPROVED AS TO FORM: <br />Sonia R.
