I 11'P f'! , FIRST AMENDMENT,ro ---',--,AG.lUEM ENT BETWEEN THE CITY OF SANTA ANA AND LOMAC INFORMATION SYSTEMS, INC. THIS FIRST AMENDMENT, made and entered into this 20"' day of November, 2001, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City") and Lon-iac Information Systems ("Contractor"). RECITALS A. The City and the Contractor entered ti-tat certain agreement dated July 18, 2000, hereinafter referred to as "said Agreement", pursuant to the Request for Proposals ("UP") for Contractor to provide cabling infrastructure services. B. The parties hereto now desire to amend said Agreement a first time to extend the tern-i of said Agreement and to increase the maximum amount of compensation. WHERE'FORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. The term of said Agreement is amended to extend for a period of one year, begiru-iing July 1. 8, 2001 - in order to provide continuous and uninterrupted service to the City - and ending on or before July 17, 2002, with an option, at City's discretion, of two (2) additional, one (1) year renewals. 2. As full compensation for this extended term, City agrees to pay, and Contractor agrees to accept payment iii an amount not to exceed $400,000,00. 3. The City will validate Contractor's parking (for parking in the lot south of City Hall) for access and necessary visits in order to perform the Scope of Services. 4. Except as hereinabove modified, the terms and conditions of said Agreement and all Exhibits thereto, remain unchanged and in full force and effect. 1
