-12 <br />- <br />4.TERM <br />a.The term of this MSA (“Term”) shall commence on October 1, 2024 and continue for a three (3) <br />year period, with the option for the City to extend this Agreement by one (1), two (2) year <br />period upon a writing by the City Manager and City Attorney, unless canceled pursuant to <br />subsection (b) below. <br />b.City of Santa Ana shall have the right to cancel this MSA without cause by providing Blueviolet/ <br />Lanmor thirty (30) days prior written notice. <br />5.INSURANCE <br />a.Additional Insured. City of Santa Ana, Its City Council, Affiliates, Employees, Agents and/or <br />Assignees shall be named as additional insured on Blueviolet/Lanmors’ policies for liability <br />insurance required hereunder and such liability policies shall be endorsed to make such <br />insurance primary to any liability insurance carried by City of Santa Ana or owner. <br />b.Waiver of Subrogation/Rights of Recovery. Blueviolet/Lanmors and its insurance carrier(s) <br />agree to waive all rights of subrogation/recovery against City, its City Council, officers, officials, <br />employees, and agents for losses paid under the terms of any policy arising from work <br />performed under this Agreement. <br />c.Certificates. Blueviolet/Lanmor shall furnish certificates of insurance evidencing the insurance <br />required hereunder and upon request shall furnish true copies of the actual policies. Each <br />certificate shall provide that thirty (30) days prior written notice shall be given to City of Santa <br />Ana in the event of cancellation or material change in the policies. In order to avoid delays in <br />commencing work, certificates and/or copies of policies shall be sent electronically to <br />norozco5@santa-ana.org. <br />d.Insurance Coverage. Blueviolet/Lanmor must maintain the following minimum insurance over <br />the duration of this MSA: <br />e.Worker's Compensation. Worker's Compensation and employer liability insurance, which shall <br />comply with the statutory requirements of the State of California or any other state where <br />services are performed and shall apply to all persons employed by Blueviolet/Lanmor. <br />f.Commercial General Liability Insurance. Commercial general liability insurance from a carrier <br />with a minimum Best rating of A (IX), including product liability (if applicable), contractual <br />liability and automobile liability with the following limits: <br />i.General bodily injury of not less than $2,000,000 for death or injury to one person and <br />$2,000,000 for death or injury to more than one person, and automobile bodily injury <br />liability of not less than 1,000,000 for death or injury to one person and $2,000,000 for <br />death or injury to more than one person, in any one occurrence. <br />ii.Property damage liability with limits of not less than $2,000,000 for general and <br />contractual liability and not less than $2,000,000 in relation to automobile liability for <br />property damage arising from any one occurrence. <br />6.GENERAL PROVISIONS <br />a.This MSA shall be deemed to have been executed by all parties and delivered to all parties <br />within the State of California, and the rights and obligations of the parties hereto shall be <br />construed and enforced in accordance with, and governed by, the substantive laws of the State <br />of California, without reference to conflict or choice of laws principles. <br />b.Any litigation arising out of or relating to this MSA shall be commenced and maintained in
