Scope of Work <br /> Task 1 : RFP Development <br /> EN will assist the City throughout the process of soliciting, evaluating, and selecting the best <br /> contractor that can implement, operate and maintain the City's Downtown Public Wireless <br /> Services. Publicly owned wireless networks require day-to-day management and maintenance. <br /> Finding the right contractor to handle network implementation and management is essential to <br /> long-term success. <br /> Aligned with City project goals and adhering to procurement processes, EN will develop and <br /> draft an RFP that will solicit comprehensive proposals from wireless contractors that are <br /> qualified and capable of implementing and operating the City's Downtown Wireless Network. <br /> We will organize and draft the RFP to leverage City assets, infrastructure, and planned network <br /> construction to maximize the proposed contribution of RFP respondents. <br /> EN will also utilize its experience to help the City evaluate proposals based on detailed and <br /> transparent criteria, including working closely with City-appointed evaluators (either City staff, <br /> community stakeholders, or both). <br /> Task 2: Contractor Negotiations <br /> EN will assist the City in determining terms and conditions of an agreement with its selected <br /> contractor and assist the City in negotiating an implementation, maintenance and operations <br /> agreement. EN will work closely with the City to participate and advise throughout the <br /> negotiation process, including developing and drafting a Term Sheet for the City to review and <br /> negotiate from. EN will specifically assist the City in determining the best terms that address the <br /> following key terms: <br /> • Wireless implementation budgets to conform to grant awards <br /> • Maintenance, management and operations services in alignment with City budgets <br /> • Providing services to a range of customer segments <br /> • Determining conditions for use of public assets <br /> • Milestones & performance schedules to guarantee delivery of services <br /> • Area of coverage <br /> • Quality of service <br /> • Compliance with federal, state and local regulations <br /> • Service level agreements and response terms and conditions <br /> • Warranties and remedies <br /> • Maintenance schedules <br /> • Reporting and usage statistics and reports <br /> • Others to be determined throughout the course of negotiations. <br /> Page 19 <br />
