(o)"HUD" means the United States (U.S.) Department of Housing and <br />Urban Development, and any successors or assigns thereof. <br />(p)"Improvements" means all improvements and fixtures now and <br />hereafter comprising the Project or any portion of the Property, including, without limitation, <br />landscaping, trees and plant materials; and offsite improvements, as required through the City of <br />Santa Ana Planning and Building Agency entitlement process. <br />(q)"HHAP Grant" means a grant in the original principal amount of up to <br />Two Million Twenty One Thousand Three Hundred Nineteen Dollars ($2,021,319) to be made <br />to Grantee by the City to be funded exclusively from the HHAP funds. <br />(r)"Indemnitees" has the meaning set forth in Section 10.5. <br />(s)"Laws" means all statutes, laws, ordinances, regulations, orders, writs, <br />judgments, injunctions, decrees or awards of the United States or any state, county, municipality <br />or other Governmental Authority. <br />(t)"Lien" means any lien, mortgage, pledge, security interest, charge or <br />encumbrance of any kind, including any conditional sale or other title retention agreement, any <br />lease in the nature thereof, and any agreement to give any lien or security interest. <br />(u)"Project" means the Project Description/Scope of Work attached hereto <br />as Exhibit B and generally described in Recital C. <br />(v)"Project Budget" means the line-item budget for the Project attached <br />hereto as Exhibit C, as modified from time to time in accordance with this Agreement. <br />(w)"Property" means the property located at 918 Bewley Street, Santa Ana, <br />California 92703, with Assessor Parcel Number 198-231-10, which is more particularly <br />described in the legal description attached hereto as Exhibit A. <br />(x)“Qualified Senior(s)” means any person over the age of 62 who qualifies <br />as “homeless” within the meaning of Section 578.3 of 24 C.F.R. § 578.3, and whose Gross <br />Income does not exceed the limit for a Very Low Income Household. <br />(y)“Qualified Homeless Youth” means any person between the age of <br />eighteen (18) and twenty four (24) who qualifies as “homeless” within the meaning of Section <br />578.3 of 24 C.F.R. § 578.3, and whose Gross Income does not exceed the limit for an Extremely <br />Low Income Household. Qualified Homeless Youth include unaccompanied youth who are <br />pregnant or parenting. <br />(z)“Regulatory Agreement”means the recorded affordability covenants <br />required by Section 4.1 and attached hereto as Exhibit D. <br />(aa)"Scope of Work" means the detailed statement of the work to be <br />performed by Grantee on and to the Property for the Project pursuant to this Agreement, which <br />document is attached hereto as Exhibit B. <br />EXHIBIT 2
