(a)In Employment. In construction on the Property, Grantee shall not discriminate against any employee or applicant because of race, color, creed, religion, sex, marital status, sexual orientation, gender identity, gender expression, gender, medical conditions, genetic information, military and veteran status, age, national origin, ancestry, or disability. Grantee shall take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, disability, creed, religion, sex, marital status, disability, national origin, or ancestry. (b)In all Contracts. Grantee shall cause the foregoing covenants to be inserted in all contracts for any work covered by this Agreement so that such provisions will be binding upon each contractor for the benefit of City, provided that the foregoing covenant shall not apply to contracts or subcontracts for standard commercial supplies or raw materials. 6.RESERVED 7.GENERAL PROVISIONS AND WARRANTIES As a material inducement to City to enter into this Agreement, Grantee represents and warrants as follows, which representations and warranties are made solely by Grantee and not by or on behalf of any partner of Grantee: 7.1 Formation, Qualification and Compliance. Grantee is a nonprofit organization. Grantee is in compliance with all laws applicable to its business and has obtained all approvals, licenses, exemptions and other authorizations from, and has accomplished all filings, registrations and qualifications with, any Governmental Authority that are necessary for the transaction of its business. 7.2 Execution and Performance of HHAP Grant Documents. (a)Grantee has all requisite authority to execute and perform its obligations under this Agreement. (b)The execution and delivery by Grantee of, and the performance by Grantee of its obligations under, this Agreement that has been authorized by all necessary action and does not and will not: (i)require any consent or approval not heretofore obtained of any person having any interest in Grantee; (ii)violate any provision of, or require any consent or approval not heretofore obtained under, any articles of incorporation, by-laws or other governing document applicable to Grantee; (iii)result in or require the creation of any lien, claim, charge or other right of others of any kind (other than under this Agreement and under the contemplated Senior Loan Documents) on or with respect to any property now or hereafter owned or leased by Grantee; EXHIBIT 2
