The City desires to retain a contractor having special skill and knowledge in the field of <br /> companion therapy dogs to provide reading assistance for Youth Services for the City <br /> Library's Read to a Dog Program. <br /> B. Contractor represents that Contractor is able and willing to provide such services to the <br /> City. <br /> C. In undertaking the performance of this Agreement, Contractor represents that it is <br /> knowledgeable in its field and that any services performed by Contractor under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> On dates and times mutually agreed upon by the parties in a signed writing, Contractor <br /> shall perform during the term of this Agreement, the tasks and obligations including all labor, <br /> materials, tools, equipment, and incidental customary work required to fully and adequately <br /> complete the services described and set forth in Scope of Services - Exhibit A, attached hereto <br /> and incorporated by reference. <br /> 2. COMPENSATION <br /> Contractor is providing the services contemplated by this Agreement free of charge as a <br /> community service, for the public benefit of providing needed services to students, citizens, and <br /> members of the public. The parties acknowledge that the mutual covenants and promises <br /> contained herein and other good and valuable consideration are adequate and sufficient to support <br /> the Agreement. <br /> 3. TERM <br /> This Agreement shall commence on November 1, 2024 and continue through December <br /> 31, 2025, unless terminated earlier in accordance with Section 14,below. <br /> Page 1 of 8 <br /> #427905v1 <br />
