�J �NIIJPAHC[ <br />OAH FEB 2 AGVEMENTWITR ELITE COMMAND TRAINING AND THE CITY OF SANTA <br />ANA TO PROVIDE L-SERIES TRAINING COURSES <br />THIS AGREEMENT is made and entered into on this 4th day of February, 2025 by and between <br />Elite Comi-nand Training, a Washington Corporation ("Conti -actor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />Sup <br />oc_n. <br />the State of California ("City"). <br />1�� <br />A. On November 5, 2024, the City of Santa Ana issued Request for Proposals No. 24-13 1 A <br />to identify qualified contractors capable of delivering homeland security related training <br />courses taught by subject matter experts or recognized professionals who to develop and <br />deliver a broad range of homeland security related exercises. <br />B. The courses Support the Anaheim/Santa Ana Urban Area ("ASAUA") florneland Security <br />Regional Training and Exercise Program and are funded by a grant awarded to the City <br />by the Homeland Security's Urban Areas Security Initiative, ("UASI") administered by <br />SAPD. <br />D Contractor submitted a responsive proposal to the RFP and was selected by the City. In <br />undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />tern -is and conditions hereinafter set forth, the parties agree as follows: <br />I. SCOPE OF SERVICES <br />Contractor shall perform during the term. of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in Scope of Services provided in the <br />RFP and attached hereto as Exhibit A. Contractor's proposals are incorporated by reference as <br />though fully set forth herein. In the performance of all services, Contractor shall comply and <br />provide the required training/classes as set forth in Cost Proposal/Class List - Exhibit B, attached <br />hereto. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its set -vices for <br />City, the rates and charges identified in Cost Proposal/Class List - Exhibit B. Any <br />compensation payable to Contractor shall be paid from a portion of the above - <br />referenced UASI grant awarded to the City. The cost per training series is $62,334. The <br />cost for eight (8) training series and the total amount to be expended during the term of. <br />this Agreement shall not exceed $498,672. <br />
