(g) This corporation shall not make investments in a manner that would subject <br /> it to tax under Internal Revenue Code section 4944 or in.. corresponding provisions <br /> of any later adopted federal tax law. · <br /> (h) This corporation shall not make any taxable expenditures as defined in <br /> Internal Revenue Code section 4945(d) or in corresponding provisions of any later <br /> adopted federal tax law. <br /> <br />Article 5: Board Actions. A quorum of the Board shall consist of at least one-third (1/3) <br />of its authorized Directors. All matters before the Board shall be approved by an <br />affirmative open vote of a majority of the Directors present at a duly constituted meeting. <br />Should any vote result in a tie, then the chair of the .Board may break the tie, or the vice- <br />chair should the chair not be present. ~_.=_ - <br /> <br />Article 6: Initial Board.
