(g) This corporation shall not make investments in a manner that would subject <br />it to tax under Internal Revenue Code section 4944 or in corresponding provisions <br />of any later adopted federal tax law. <br /> <br />(h) This corporation shall not make any taxable expenditures as defined in <br />Internal Revenue Code section 4945(d) or in corresponding provisions of any later <br />adopted federal tax law. <br /> <br />Article 5: Board Actions. A quorum of the Board shall consist of at least one-third (1/3) <br />of its authorized Directors. 'All matters before the Board shall be approved by an <br />affirmative open vote ora majority of the Directors present at a duly constituted meeting. <br />Should any vote result in a tie, then the chair of the Board may break the tie, or the vice- <br />chair should the chair not be present. <br /> <br />Article 6: Initial Board. This corporation shall initially have twenty-t~vo (22) Directors. <br />The names and addresses of the persons who are to act in the capacity of Directors are set <br />forth below.
