319 RESOLUTION NO. 95-082 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SANTA ANA APPROVING AND AUTHORIZING EXECUTION OF A SUPPLEMENTAL TRUST INDENTURE RELATING TO ITS VARIABLE RATE DEMAND INDUSTRIAL DEVELOPMENT REVENUE REFUNDING BONDS (CIVIC CENTER MEDICAL ARTS PROJECT), 1992 SERIES A RESOLVED, by the City Council (the "City Council") of the City of Santa Ana (the "City"), that: WHEREAS, the City and Seattle-First National Bank, as trustee (the "Trustee") are parties to an Indenture of Trust, dated as of April 1, 1992, as amended (the "Indenture"), securing $4,168,000 initial aggregate principal amount of Variable Rate Demand Industrial Development Revenue Refunding Bonds (Civic Center Medical Arts Project), 1992 Series A of the City (the "Bonds"); WHEREAS, Civic Center Medical Arts Associates, A California Limited Partnership, the owner of the commercial facilities refinanced with the proceeds of the Bonds issued under the Indenture (the "Borrower"), has requested that the City and the Trustee amend the Indenture in connection with the providing of a confirmation for the letter of credit securing the payment of the principal and purchase price of and interest on the Bonds; WHEREAS, said amendment has been set forth in proposed Supplemental Trust Indenture No. 2, dated as of December 1, 1995 ("Supplemental Trust Indenture No. 2"), and in the form on file with the City Clerk, and this City Council now desires to approve said document in order to allow for thg providing for the confirmation of the Letter of Credit; NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED by the City Council of the City of Santa Aha, as follows: 1. Supplemental Trust Indenture No. 2, in the form on file with the City Clerk, is hereby approved. The Mayor, City Manager, Deputy City Manager or Executive Director of Finance (the "Authorized Issuer Representatives"), and each of them, are hereby authorized and directed, for and in the name and on behalf of the City, to execute and deliver Supplemental Trust Indenture No. 2, and the City Clerk is hereby authorized and directed, for and in the name and on behalf of the City, to attest the Authorized Issuer Representative signature and affix the seal of the City to Supplemental Trust Indenture No. 2, in said form, together with such additions thereto or changed therein as are recommended or approved by the Authorized Issuer Representatives, the approval of such additions or changes to be conclusively evidenced by the execution and delivery of Suppleniental Trust Indenture No. 2 by the Authorized Issuer Representatives. 2. The Authorized Issuer Representatives and all other officers of the City are hereby authorized and directed, for and in the name and on behalf of the City, to do any and all things and take any and all actions and execute and deliver any and all certificates, agreements and other documents which they, or any of them, may deem necessary or advisable in order to consummate the amendments to the Indenture contemplated by Supplemental Trust Indenture No. 2. 3. This resolution shall take effect immediately upon its adoption.
